Suzlon Energy Allots 18.23 Lakh Equity Shares Under ESOP 2022

Suzlon Energy Limited has allotted 18,23,720 fully paid-up equity shares following the exercise of stock options by eligible employees under its Employee Stock Option Plan 2022 (ESOP 2022). The allotment was approved on August 10, 2026, by the Securities Issue Committee of the company’s Board of Directors through a circular resolution.

The equity shares, each having a face value of Rs 2, were issued in dematerialised form in accordance with applicable Securities and Exchange Board of India (SEBI) regulations. Through the exercise of these stock options, Suzlon Energy raised a total of Rs 5,38,56,600, including the applicable share premium.

The allotment covered employee stock options issued under three separate grants. Under Grant 1, dated May 22, 2023, employees exercised 75,000 options at an issue price of Rs 5 per share. The issue price included a premium of Rs 3 per share, resulting in proceeds of Rs 3,75,000.

The largest portion of the allotment came under Grant 2, dated May 23, 2024. Employees exercised 16,46,720 options at an issue price of Rs 30 per share, including a premium of Rs 28 per share. This generated Rs 4,94,01,600 for the company.

Under Grant 5, dated May 19, 2025, a total of 1,02,000 options were exercised at Rs 40 per share, including a premium of Rs 38 per share. The company received Rs 40,80,000 from this exercise.

Following the allotment, Suzlon Energy’s paid-up share capital has increased to Rs 2,749,12,73,272. The company now has 13,74,56,36,636 fully paid-up equity shares, each with a face value of Rs 2.

Suzlon Energy has informed the National Stock Exchange of India Limited and BSE Limited about the allotment as part of its regulatory and disclosure requirements.
